imToken Terms of Use

imToken Pte. Ltd. ("imToken", "we", or "our") is a software development company incorporated in Singapore in 2016, focusing on blockchain technology research and development, including developing a decentralized wallet called imToken Wallet ("Wallet" or "App"). imToken Wallet is a software tool that allows users to directly access and interact with blockchains and tokens through their private keys, and use other features that the company adds from time to time. imToken Web is a Web application based on Abstract Account (AA) wallet technology that enables users to directly access and interact with blockchains and tokens.

• Agreement to Terms

  • These Terms of Use ("Terms" or "Terms of Use") govern your access to and use of this website (https://imtoken.run) and any other imToken websites, imToken Web, mobile applications, and APIs we provide. This agreement is between us and you or the entity you represent.
  • By using this website, imToken Web, mobile applications, or by indicating your acceptance of these Terms of Use through any available option (such as clicking a link or button or logging into the product), you agree to these Terms of Use and any additional terms we provide. These Terms of Use shall be effective as of the update date specified in the agreement. You also agree to the processing of information in accordance with our Privacy Policy. If you do not agree to these Terms of Use, you may not be able to access or use the product.
  • You represent and warrant that you have reached the legal age to use imToken in your jurisdiction and have full legal capacity to enter into this agreement and be bound by its terms, and that you assume full responsibility for any liability that may arise from your use of the imToken wallet.
  • We reserve the right to modify or replace these Terms at any time at our sole discretion. Modified terms will take effect immediately upon posting on our website or within the wallet. Your continued use of the imToken wallet after the modified terms are posted indicates your acceptance of these modifications.
  • We may, at our sole discretion, limit or adjust access to certain features of the wallet to maintain exemption from relevant licensing requirements in your jurisdiction.

• Important Notices

  • imToken provides decentralized products, which are significantly different from banks, financial institutions, and centralized platforms.
  • You understand and acknowledge that blockchain technology belongs to an innovative field where relevant laws and regulations may not yet be fully established or consistent across different jurisdictions. You may face significant risks such as technical instability.
  • You understand that imToken does not control or hold your digital assets, private keys, or Passkeys, does not provide financial advice or investment advice, and does not provide any recommendations regarding third-party service providers you choose.
  • You understand that after you create or import a wallet to imToken, your keystore, private keys, Passkeys, or mnemonic phrases are stored only on your mobile device or hardware device and are not stored on our servers.
  • You understand that when you use third-party password management or authentication services (such as Passkeys) for imToken Web, mobile applications, or other products, these credentials are entirely managed by third parties. imToken does not store, manage, or access these external passwords or authentication methods.
  • You understand that imToken provides access to third-party content and services, including but not limited to applications, DApps, or smart contracts, solely for convenience purposes. We do not control third-party content and services and are not liable for any damage or loss resulting from the use of third-party content or services.
  • For any matters not covered by this agreement, you should comply with announcements and related rules updated by imToken from time to time.
  • Please be sure to carefully read all content in the "Disclaimers and Limitation of Liability" section.
  • Licensing Disclaimer: imToken is not currently licensed or regulated in any jurisdiction and does not provide any regulated services, including but not limited to financial or payment services regulated by the Monetary Authority of Singapore under Singapore's Payment Services Act 2019.

• IMTOKEN PRODUCTS

  imToken mobile application, as a non-custodial wallet, provides the following core functions:

  • Cryptographic Key Solutions: Provides key management solutions that allow users to retain their private keys, which are essential for accessing and managing their digital assets with enhanced security, control, and privacy.
  • Token Transfer: Transfer tokens between blockchain addresses using your private keys or key signatures. Such token "transfers" involve verification and recording of such transactions on the distributed ledger of the relevant blockchain system (rather than actual delivery or transfer of tokens on imToken).
  • Token Information: View basic information about tokens, including quotes provided by third parties (if applicable).
  • DApp Browser: Serves as an interface providing access to third-party developed DApps or smart contracts. We do not control third-party services, and the relationship between you and third-party service providers is an independent contractual relationship.

  imToken Web provides the following core functions:

  • Smart Contract Deployment: This contract contains logic for managing funds, permissions, and transactions.
  • Key Management: This may include multi-signature setups, social recovery methods, or threshold signatures. However, it does not include any passwords, passkeys, or passcodes provided by third parties.
  • Transaction Execution: Transactions are processed through smart contracts. Contracts may require other conditions to be met before executing transactions, thereby enhancing security features.

• Third-Party Content and Services

  • In certain features provided on imToken websites, imToken Web, or mobile applications, you may view, access, and use information content, products, or services from one or more third parties (referred to as "Third-Party Content" and "Third-Party Services" respectively). In each case, you agree that you view, access, or use such content and services at your own discretion. imToken assumes no liability for any losses arising from your reliance on or use of any third-party content or services.

• Your Responsibilities

  • You are solely responsible for protecting your mobile device, wallet password, private keys, mnemonic phrases, passkeys, and any passwords or keys exclusively managed by third parties. We do not store the above information. You shall bear all risks, liabilities, losses, and costs arising from fraud, device or wallet loss, or security compromise. Therefore, any issues related to any third-party services, including but not limited to loss of access, data breaches, or service interruptions, are beyond imToken's control and responsibility. While imToken strives to integrate seamlessly with various authentication methods, the responsibility for these third-party services lies with their respective providers.
  • You should pay attention to and follow relevant instructions when executing blockchain transactions. You understand that blockchain operations are irreversible. When you use imToken for token transfers, you are responsible for the consequences of improper transfer operations (including but not limited to incorrect addresses, problems with node servers you choose), and ensure that your counterparties are persons with full civil capacity.
  • When you receive reminders such as "transaction failed" or "mining timeout," you should check the official blockchain system or other blockchain tools to avoid duplicate transfers and related fees or losses.
  • When using imToken or DApps or smart contracts on imToken, you should comply with applicable laws and regulations in your jurisdiction. Before engaging in transactions with or through third parties, you should carefully read the terms of service, privacy policies, and other relevant documents and information of such third-party content and services to understand counterparties, product information, and related risks.
  • You should only access, download, and install official and appropriate imToken mobile applications and imToken Web. We cannot ensure the operation or security of applications from unauthorized sources. Any losses caused by using such applications or websites are borne by you.
  • You should use imToken in a secure network environment and not use jailbroken or rooted mobile devices.
  • You should be vigilant against online fraud when using imToken. If you discover any suspicious activities or unauthorized access to your wallet or account, please immediately notify us of any security vulnerabilities or unauthorized use of your account.
  • If we decide at our sole discretion that verification of your identity documents or other required documents is necessary, you should cooperate with us to complete verification in a timely manner.

• Fees

  • You need to pay "gas" or network fees when transferring tokens, with the fee amount determined by you and collected by the relevant blockchain network.
  • We may charge fees for certain features we provide to you. By using these features, you agree to pay all fees associated with these features. We reserve the right to change these fees at our sole discretion. You acknowledge that you will pay the fees we charge in a timely manner (if applicable). We reserve the right to suspend these features if you fail to pay fees (if applicable).
  • When you use services provided by third parties, you may be charged handling fees and/or service fees. These fees are subject to the fees charged by that service, and the relevant information displayed on imToken is for your reference only.
  • You shall bear all applicable taxes and other fees arising from transactions with imToken.

• IMTOKEN Open Source Code ("OSC")

  • Developer users have the right to use officially published imToken open source code for further program development, and to download and use any patches or vulnerability solutions related to imToken open source code.
  • When using imToken open source code, developer users acknowledge and agree:
  • If developer users discover any vulnerabilities, defects, or software improvement solutions when using imToken open source code, developer users should contact us promptly and stop any harmful usage behaviors (if applicable).
  • imToken open source code may contain third-party developed open source licenses and source code. We do not provide any guarantees regarding the functionality, absence of viruses or vulnerabilities, etc., of such third-party developed open source licenses and source code.
  • Developer users should determine the consequences of using imToken open source code at their own discretion.
  • Developer users should carefully read and agree to relevant open source licenses (including but not limited to Apache open source license: http://www.apache.org/licenses/LICENSE-2.0.html) and notifications we update from time to time.

• Product Feature Changes, Suspension, Termination

  • You acknowledge and accept that we have the right to decide at our sole discretion to temporarily provide only partial product features, discontinue partial product features, or provide new product features in the future. When we change product features, your continued use of imToken indicates your acceptance of these Terms of Use and their amendments.
  • You understand that we may discontinue product features (or may completely terminate product features under any of the following circumstances):
  • Maintenance, upgrades, device and blockchain system failures, communication interruptions, etc. causing imToken to suspend operation;
  • Force majeure events, including but not limited to typhoons, earthquakes, tsunamis, floods, power outages, lightning strikes, wars, terrorist attacks, etc.;
  • Computer viruses, Trojans, malicious program attacks, hacker attacks, network congestion, system instability, system or device failures, telecommunication failures, power failures, banking problems, government actions, etc., causing us to be unable to provide product features, or we reasonably believe that continuing to provide product features will lead to significant risks;
  • Significant adverse changes in applicable laws or policies; or
  • Any other events beyond our control or reasonable prediction.
  • We may terminate your access to and use of product features at any time at our sole discretion without notice to you.

• Your Representations and Warranties

  • You shall comply with all applicable laws and regulations of your country or region of residence and/or domicile. You are not a sanctioned designated or prohibited person.
  • You shall not use imToken for any illegal purposes or means, including but not limited to:
  • Activities that endanger national security, leak state secrets, subvert government, or undermine national unity in your place of residence or region;
  • Any illegal activities such as money laundering, illegal fundraising, or investment schemes;
  • Accessing our products, collecting or processing content we provide, interfering with or attempting to interfere with any users through the use of any automated programs, software, network engines, web crawlers, web analysis tools, data mining tools, or similar tools;
  • Providing gambling information or inducing others to participate in gambling;
  • Hacking other imToken wallets to steal tokens;
  • Engaging in any inaccurate or false transactions with counterparties;
  • Engaging in any behavior that damages or attempts to damage imToken systems and data; or
  • Other inappropriate behaviors that we have reason to believe.
  • You understand and accept your violations of any laws (including but not limited to customs and/or tax regulations) or violations of these Terms of Use, and shall bear corresponding responsibilities and compensate us for losses, third-party claims, or administrative penalties suffered as a result, as well as reasonable legal and administrative costs, fees, and expenses, including reasonable attorney fees.

• Disclaimers and Limitation of Liability

  • You acknowledge and accept that, to the maximum extent permitted by applicable law, the products provided by IMTOKEN are provided on an "as is," "as available," and "with faults" basis.
  • We are not responsible for any type of damage, whether direct or indirect, arising from or in any way related to your use or inability to use this product. This includes damages allegedly caused by any of the following reasons:
  • imToken system maintenance or upgrades;
  • Force majeure such as typhoons, earthquakes, tsunamis, floods, power outages, lightning, wars, or terrorist attacks;
  • Hardware and software failures of your mobile device, as well as telecommunication and power line failures;
  • Your improper, unauthorized, or unapproved use of the product;
  • Computer viruses, Trojan horses, malicious program attacks, hacker attacks, network congestion, system instability, system or device failures, telecommunication failures, power failures, banking problems, government actions, etc.;
  • Any other reasons not attributable to us;
  • You lose your mobile device, delete imToken applications and wallets without backup, forget wallet passwords, private keys, mnemonic phrases, keystores without backup, resulting in token loss;
  • You leak your wallet password, private keys, mnemonic phrases, keystores, or lend or transfer your imToken wallet to others, or authorize others to use your mobile device or imToken wallet, or download imToken applications through unofficial channels, or use imToken applications in other insecure ways, resulting in token loss;
  • You misoperate imToken (including but not limited to wrong addresses, node server problems you choose), resulting in token loss;
  • You are unfamiliar with blockchain technology or lack relevant knowledge, and your incorrect operation of imToken results in token loss;
  • Due to system delays or blockchain instability, imToken cannot replicate accurate transaction records;
  • Your use of developer mode.
  • You understand the importance of setting recovery keys when using imToken Web. Failure to set recovery methods may result in permanent account and asset loss due to device loss.
  • You understand that imToken is only a software tool for accessing tokens and cannot control the quality, security, and legality of any third-party services, or the truthfulness and accuracy of their information, as well as their ability to fulfill agreement obligations with you. You may decide whether to use third-party services at your own discretion. You understand that such transactions and corresponding contractual relationships are relationships between you and your counterparties, not between us. Before deciding to use any third-party services, you are responsible for carefully reviewing the truthfulness, legality, and validity of relevant information they provide. In addition, you should also bear all risks arising from transactions between you and any third-party developed exchanges.
  • You acknowledge that imToken may simultaneously provide products to you and your counterparties, or may have affiliated relationships or other interest relationships with the above parties. You agree to waive any actual or potential conflicts of interest and will not make claims against us based on this, or make us bear additional responsibilities or duties of care.

• We Do Not Guarantee

  • The products we provide can meet all your needs;
  • All technologies, products, services, information, or other materials provided by us meet your expectations;
  • All digital token market trading information obtained from third-party exchanges is timely, accurate, complete, and reliable;
  • Your counterparties on imToken will timely fulfill obligations in trading agreements signed with you.
  • Under no circumstances shall our total liability under these Terms of Use exceed the greater of the following two:
  • One (1) ETH; or
  • SGD 2,000.

  You know that imToken is only an application for you to manage tokens and display transaction information. We do not provide legal, tax, or investment advice. You should seek independent advice from professional legal, tax, and investment advisors. In addition, we are not responsible for any investment losses, data loss, etc. that occur during your use of our products.

  You understand that we may change our admission standards, limit the scope and manner of providing product features to specific users, etc. at any time according to applicable laws and regulations.

• Other Terms

  • Non-Transferability: Subject to compliance with these Terms of Use, only you and no one else has the right to make any claims against us regarding the use of the product. You may not assign, trade, or transfer or attempt to assign, trade, or transfer your rights to any such claims. Any such assignment or transfer shall be void and shall not impose any obligations or liabilities on the assignee or transferee.
  • Intellectual Property: imToken is an application developed and owned by us. The intellectual property rights of any content displayed in imToken (including these Terms of Use, announcements, articles, videos, audio, images, files, information, materials, trademarks, or logos) belong to us or third-party licensors. You may only use the imToken application and its content for the purpose of holding and managing tokens. In particular, without our or third-party licensors' prior written consent (or relevant open source license), no one may use, modify, decompile, copy, publicly disseminate, alter, distribute, publish, or publicly release the above applications and content (including imToken open source code). These Terms of Use do not grant you any intellectual property rights, including the right to use any information, images, user interfaces, logos, trademarks, trade names, internet domain names, or copyrights related to us or the product for any purpose.
  • No Waiver: Our failure to enforce these Terms of Use, or our failure to assert any rights, claims, or causes of action against you under these Terms of Use, shall not be construed as our waiver of the right to assert any rights, claims, or causes of action against you.
  • Entire Agreement: These Terms of Use include these imToken Terms of Use, the imToken Privacy Policy, and other rules we publish from time to time (including content in the "Support" section). Except for the imToken Privacy Policy incorporated into these Terms of Use, these Terms of Use contain the complete agreement and understanding between you and us and supersede all prior agreements, understandings, or arrangements (both oral and written) related to the use of imToken products.
  • Taxes: Use of the product does not include all taxes ("Applicable Taxes") that apply to, arise from, or are related to your use of the product in any jurisdiction.
  • You are responsible for determining any taxes payable and for declaring, withholding, collecting, reporting, and remitting the correct amount of taxes payable to appropriate tax authorities. You shall be fully responsible for all penalties, claims, fines, punishments, or other liabilities arising from failure to perform or failure to perform in any scope any obligations related to taxes payable.
  • We are not responsible for determining any taxes payable and for declaring, withholding, collecting, reporting, and remitting correct taxes payable to relevant tax authorities.
  • Governing Law: These Terms of Use are governed by and construed in accordance with the laws of the Republic of Singapore.
  • Jurisdiction: You should fully understand and comply with laws, regulations, and rules related to product use in your jurisdiction.
  • Regulatory Compliance: As regulatory requirements change, we may need to adjust and modify our product features to ensure compliance with evolving requirements. In such cases, we will provide transparent and timely communication to all customers outlining the changes and providing alternative solutions when necessary.
  • Dispute Resolution: If any dispute arises from or in connection with these Terms of Use, including any questions concerning its existence, validity, or termination, the parties should first seek resolution of the dispute. If the dispute remains unresolved within thirty (30) days after the commencement of the settlement procedure, it shall be submitted to the Singapore International Arbitration Centre ("SIAC") for arbitration and final resolution under the Arbitration Rules of the Singapore International Arbitration Centre then in effect ("SIAC Rules"). The seat of arbitration shall be Singapore. The arbitral tribunal shall consist of one (1) arbitrator appointed by the President of SIAC. The language of arbitration shall be English. Each party irrevocably submits to the non-exclusive jurisdiction of the Singapore courts to support and assist the arbitration proceedings provided for in this clause, including granting interim relief before the arbitration outcome if necessary.
  • Contracts (Rights of Third Parties) Act: The Contracts (Rights of Third Parties) Act (Chapter 53B) of the Republic of Singapore applies to this agreement, which may be amended, revised, or supplemented from time to time. Non-parties do not enjoy any rights under these Terms of Use and may not enforce these Terms of Use.
  • Severability: If any part of these Terms of Use is invalid, illegal, or unenforceable under any law to which it is subject, then to that extent that part is invalid, illegal, or unenforceable, but for the avoidance of doubt, the remainder of these Terms of Use shall continue to be valid and in full force.
  • Partial Invalidity: The illegality, invalidity, or unenforceability of any provision in these Terms of Use under the laws of any jurisdiction does not affect its legality, validity, or enforceability under the laws of any other jurisdiction, nor does it affect the legality, validity, or enforceability of any other provision.
  • Translation Versions of These Terms of Use: Translation versions of these Terms of Use (if any) are provided for your convenience and are not intended to modify the English version of these Terms of Use. If there are any discrepancies between the English version and non-English versions of these Terms of Use, the English version shall prevail.

• Definitions

  • Personal Information: Information recorded electronically or in any other form that can identify a natural person when used alone or in combination with other information, including but not limited to personal biometric information, email addresses, wallet addresses, mobile device information, operation records, and transaction records, but excluding wallet passwords, private keys, mnemonic phrases, keystores, and passkeys.
  • AA (Account Abstraction) Wallet: A smart contract-based wallet that enables advanced features such as multi-signature security, programmable transactions, and customizable access controls, providing flexibility and user experience beyond traditional wallets.
  • Keystore: A file format containing private keys or mnemonic phrases that is encrypted and protected by a wallet password. The keystore is stored only on your mobile device and is not synchronized to our servers.
  • Public Key: Derived from private keys using cryptographic techniques and used to generate wallet addresses. A wallet address is a public address used to receive tokens.
  • Private Key: Composed of 256 random bits. Private keys allow access to and control of tokens associated with a specific public address.
  • Mnemonic Phrase: Composed of randomly generated 12 (or 15/18/21/24) words based on the blockchain industry standard BIP39. It is a human-readable text format used to backup your private keys for recovery purposes.
  • Passkey: A passkey is a digital credential tied to a user account and a website or application. Passkeys allow users to authenticate without entering a username or password, or providing any additional verification factors. This technology is designed to replace traditional authentication mechanisms such as passwords.
  • Wallet Password: The password you determine when creating a wallet. As a decentralized application, imToken does not store your wallet password on our servers or on your own mobile device. If you lose or forget your wallet password, you must use your private key or mnemonic phrase to reset the wallet password.
  • Token: Digital tokens supported by imToken.
  • Smart Contract: A type of smart contract that runs on the Ethereum blockchain, propagated, verified, and executed through information methods.
  • Third-Party Services: Products and services provided by third parties, such as third-party developed DApps, third-party developed smart contracts, third-party developed open source licenses, third-party developed hardware wallets, third-party developed web pages, third-party developed exchanges, etc.

imToken Privacy Policy

imToken PTE. LTD. ("imToken", "we", "our company" or "our") respects and protects the privacy of users ("you", "your" or "users") and users' control over their data. Due to the decentralized nature, imToken minimizes the collection of personal information and will never collect your private keys under any circumstances. When we deem it necessary to provide a better user experience, imToken may collect, use, disclose and process your personal information in accordance with this Privacy Policy ("this Policy"), including but not limited to when you:

• access or use our official websites, applications and support services; and/or
• provide us with your personal information, regardless of the medium through which such information is provided.

Where there is any inconsistency between the definition of any term in this Policy and the definition of the term in the imToken Terms of Use, the definition of the term in this Policy shall prevail.

By providing us with your personal information, you consent to our collection, use, disclosure (including transfer) and processing of your personal information in accordance with this Policy. If you do not agree with this Policy, please do not provide us with any personal information.

Our applications may link to third-party websites, applications or smart contracts, which are not managed by us. Such links are provided for your convenience only. When using third-party services, imToken's Terms of Use and this Policy will no longer apply.

We reserve the right to update this Policy online at any time without notice to you. Once the revised policy is published on our official website or application, the new policy will take effect and replace the old version. You can determine whether revisions have been made by checking the date this notice was last updated. The revised policy will apply to personal information you have previously provided. In particular, if you do not agree with the revised policy, please immediately stop using our official website and applications. Continued use of our official website or applications will be deemed as your acceptance of the revised policy.
